Introduction
When a business faces an immediate threat to its confidential information, customer relationships or reputation, damages awarded years later may offer little practical protection. In those circumstances, an interlocutory injunction can provide urgent relief pending the final determination of the dispute.
A recent High Court decision involving education technology provider Upskill Online Ltd demonstrates the potential importance of this remedy.
What is an Interlocutory Injunction?
An interlocutory injunction is a temporary court order made during ongoing legal proceedings. It may require a party to take, or refrain from taking, a particular action until the case is decided at trial.
An injunction will generally be sought where immediate intervention is necessary to prevent harm that may not be adequately remedied by an award of damages.
The Upskill Proceedings
Upskill Online Ltd (“Upskill”), trading as Olive, provide devices, software licensing and IT support services to schools throughout Ireland. It brought proceedings against several former employees and companies operating in the education technology sector.
Upskill alleged that confidential business information had been accessed and used improperly, company property had been misappropriated, and customers had been targeted in breach of contractual and settlement obligations.
The company claimed that it had lost contracts with approximately 20 schools, representing annual revenue of around €1.61 million. It also alleged that a former executive had arranged for the export of customer invoicing and support records before leaving the company and had subsequently accessed confidential commercial information on several occasions.
The allegations were disputed by the defendants.
In granting interim relief, Mr Justice David Nolan stated that there was sufficient evidence to support a case of what he described as “commercial sabotage”. The Court initially made wide-ranging orders restraining the defendants from marketing or providing certain educational services to Upskill customers and from disposing of disputed IT equipment.
Why Injunctions Matter
In many commercial disputes, a successful judgment delivered months or years later may come too late. By then, customers may have moved elsewhere, confidential information may have been disclosed and a competitive advantage may have been permanently lost.
For many businesses, the real value lies in preventing the damage from occurring in the first place. Once confidential information has been disseminated or an important customer relationship lost, financial compensation may be an inadequate remedy.
Interlocutory injunctions provide a mechanism for obtaining urgent court protection before that damage becomes irreversible. They can be particularly important in disputes involving:
Confidential information and trade secrets
The solicitation or diversion of customers
Post-employment restrictions
Breaches of contractual or settlement obligations and
The removal, misuse or destruction of company property
The Court’s Approach
Applications of this nature require a business to act quickly and place persuasive evidence before the Court at an early stage. The Court must assess whether temporary protection is justified while ensuring that the rights of all parties are protected pending trial.
The granting of an injunction does not mean that the underlying allegations have been proven. It is a temporary measure intended to protect the parties’ positions until the dispute can be fully determined.
In the Upskill proceedings, the interim injunctions were subsequently discharged by agreement between the parties, with the defendants continuing to deny wrongdoing. The case nevertheless illustrates the Court’s ability to intervene urgently where commercial interests are said to be at immediate risk.
A Valuable Commercial Remedy
An interlocutory injunction may be the most significant practical relief available in a commercial dispute. By preventing the misuse of confidential information, protecting customer relationships or preserving company property, an injunction can secure meaningful protection long before final judgment is delivered.
The Upskill proceedings are a timely reminder that businesses are not restricted to pursuing damages after the event. Where confidential information, customer relationships, trade secrets or contractual rights are under immediate threat, the courts can provide swift interim protection.
In many cases, obtaining that protection at an early stage may be more valuable than any award ultimately made at trial.
